Help! Contract for Cattle Drive Gig

Okay so here i go...
I have to write a contract for an event...a Cattle Drive. I will be sending images (with my watermark) for them to use on their website throughout the drive. I want to make sure that is all they are used for (limited usage). If magazines need images i want to make sure that they come to me. there is another photographer trying to squeeze his way in and i want to make sure he isn't allowed. this is a BIG break for me. (if he was a gentleman i wouldn't have that big of a deal, but he is a mean person). i dont know how to get a contract started. HELP! PLEASE!
