an XS for $120? Sounds fishy. That's very low.

Call Canon Service and ask about the Canon Loyalty Program. If you have a broken Canon camera, depending on what's available, they'll offer you a bunch of refurbed models at discounted prices. I think someone figured out that what's on offer is usually whatever they have up in the refurbed section on the website, with an additional 20% discount. The refurb will have a 90 day warranty, instead of a one year warranty. They mail you the new camera, you mail them back the old one.

The XS with kit lens, last I heard, was going for around $320+tax+S&H through this deal. An S90 was $199. SX10 IS was $207, and the G11 was $259. Whether they're still available at those prices, though, I don't know. G11s seem to go in and out of stock for the CLP a lot.

The XS vs. the S3... well, it's not so much "better" as really really different. With the kit lens, compared to the S3, you won't have nearly the reach, or close to the same macro capability. But you don't have to wait for it to power on, you can time a shot exactly (no waiting for the shutter), and ISO settings up to 800 are pretty darn usable. And with the right lens, blurring the background can be pretty easy--something that's nearly impossible with an S3 unless you're taking macros. I wouldn't consider it to be a straightforward upgrade, or even necessarily an upgrade at all unless it specifically fulfilled what you want from a camera. Going from a bridge cam to a dSLR is a lot more expensive and a lot more to carry around, but for added function. Think of it as going from a swiss army knife (or in the case of a bridgecam, a Leatherman tool to a big red toolbox. If all you need is the occasional screwdriver, it may not be worth it. But if you need a hammer...
