can someone tell the difference between the regular full version of lightroom 3 for $299. and the student/teacher full version of lightroom 3 for half that price? Someone told me they were exactly the same except you couldn't upgrade the student/teacher version? Is that correct?

Also I do believe that with the Student / Teacher edition you're not allowed to use it for commercial use.
Meanwhile, the upgrade to full price is the same price as a new version of the student / teacher version, so the lack of upgrade pricing isn't really too big of an issue.

It's different depending on the countries (or so I've heard). When I bought LR2, there were no commercial limitations on it. On the page for buying LR3, there is a big bold notice on the cheapest one that you can't use it for commercial purposes. From Ascent Technology:
